Advertising Contract for Display Advertising

Southern Jewelry News, hereinafter designated as the Publisher, is hereby authorized to publish display advertising for___________________________________________, hereinafter designated as the Advertiser, as follows: A______________ad for_____________insertions, in accordance with the rates and provisions set forth in the______rate card, which is a part of this contract. The Advertiser agrees to pay $_____________ for each ad, payable monthly as used. Balances over 30 days past due will be subject to a 1.5% monthly (18% annually) finance charge. The applicable frequency discount rate will be applied for ads exceeding the size stated in this contract.

The space herein contracted for shall be used exclusively for the advertising of the party named below and shall not be sold, given or transferred in whole or part to any other party, and shall not be used for the advertising of any party other than the one listed below.

If the Advertiser earns a better rate by exceeding the number of insertions herein contracted for, he may request an adjustment in accordance with the frequency specified, the Advertiser agrees to pay for such space as has been used at the rate actually qualified for in accordance with the rate schedule.

After this contract has been in force for the full period stated above, it shall continue in force until cancelled by either party on written notice.

In the event of any error in an advertisement, regardless of origin or circumstances, the liability of the Publisher shall not exceed the cost of the advertisement in which the error or errors occur.

The Advertiser agrees that the Publisher may cancel this contract or reduce the amount of space or revise the rates on 30 dates written notice, and if such notice is given, the Publisher agrees that the Advertiser may cancel this contract without rate penalty at that time.

All copy is subject to approval, both as to phraseology, arrangement and type, by the Publisher. The Publisher reserves the right to revise, edit or reject any or all the copy. The Advertiser agrees to indemnify the Publisher against any and all losses, damage, cost and expense which the Publisher may incur or become liable for by reason of any and all claims or actions for libel, violation of right or privacy, plagiarism, copyright infringement, and any and all other claims in connection with advertising matter published pursuant to the terms and provisions of this contract, including without limitation the expense and cost of defending any and all such claims and actions.
